1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a binding Equipment Transfer Agreement between the business, organization, or institution requesting services ("Transferor") and FitzgeraldTech LLC, doing business as GreenIT Pickup ("Company"). By scheduling a pickup or transferring equipment to the Company, the Transferor agrees to be bound by these Terms.
Services are available exclusively to businesses, organizations, and institutions.
GreenIT Pickup does not provide residential or consumer pickup services. Minimum pickup quantities apply as determined at the time of scheduling.
2. Service Description
GreenIT Pickup provides no-cost pickup of surplus, decommissioned, or end-of-life IT equipment from business locations within the Dallas-Fort Worth metropolitan area. Accepted equipment categories include:
- Servers and rack-mounted equipment
- Desktop computers and workstations
- Laptops and notebooks
- Networking equipment (switches, routers, firewalls, access points)
- Storage devices and arrays (hard drives, SSDs, NAS, SAN)
- Monitors and displays
- UPS (uninterruptible power supply) systems and batteries
- Cables, peripherals, and related accessories
Equipment types not listed above may be accepted at the Company's discretion. Pickup scheduling is subject to availability, route optimization, and minimum quantity requirements.
3. Equipment Transfer and Ownership
Upon pickup, all equipment transferred to GreenIT Pickup becomes the irrevocable property of FitzgeraldTech LLC. The transfer of ownership is permanent and unconditional. Equipment may be refurbished, resold, recycled, donated, or otherwise disposed of at the Company's sole discretion.
No monetary compensation, credit, payment, trade-in value, or other consideration of any kind is provided to the Transferor in connection with the equipment transfer. This is a no-cost pickup service, not a purchase, trade, or exchange program.
By scheduling a pickup, the Transferor represents and warrants that:
- They have full authority to transfer ownership of the equipment on behalf of the organization
- The equipment is free and clear of all liens, encumbrances, security interests, and third-party claims
- The transfer does not violate any existing agreement, lease, or contractual obligation
- All necessary internal approvals for asset disposition have been obtained
4. Data Handling
Storage media contained in transferred equipment may be overwritten, reformatted, or physically destroyed as an operational courtesy. This process is performed on a best-effort basis and does not constitute a guarantee of complete data removal.
Transferors are solely responsible for removing all sensitive, proprietary, classified, or regulated data from equipment prior to transfer. The Company assumes no liability for any data remaining on transferred equipment. The operational courtesy of media processing does not create any obligation, warranty, or service-level agreement regarding data handling.
For businesses requiring documented, certified data destruction services with formal chain-of-custody reporting and certificates of destruction, we recommend contacting ExpungeData (expungedata.com), a separate service operated independently with its own service agreement, terms of service, and fee schedule. ExpungeData is not affiliated with the GreenIT Pickup equipment transfer service, and referrals do not create any joint liability or shared obligation.
5. On-Site Conditions and Property
The Company will exercise reasonable care when performing pickup services at the Transferor's location. However, the Company is not liable for damage to pre-existing conditions, including but not limited to worn flooring, walls, door frames, elevators, or other building infrastructure.
The Transferor is responsible for providing accurate information about site conditions at the time of scheduling, including but not limited to: floor level, elevator availability, loading dock access, stairs, narrow hallways, and any known hazards.
The Company reserves the right to discontinue a pickup in progress and leave the premises without liability if on-site conditions differ materially from what was communicated during scheduling, or if the Company's personnel determine that conditions present a safety risk. Such conditions include but are not limited to: undisclosed flights of stairs, hazardous materials, structural concerns, inadequate access, or any environment the Company deems unsafe for its personnel or equipment.
6. Photography and Marketing
By scheduling a pickup, the Transferor grants the Company permission to photograph equipment and the pickup process for use in marketing, promotional, and informational materials. Photographs will not include identifiable company branding, signage, proprietary information, or personnel unless separate written authorization is obtained. The Transferor may opt out of photography at any time by notifying the pickup crew or Company prior to or during the pickup.
7. Environmental Compliance
Equipment that cannot be refurbished or resold will be recycled or disposed of in accordance with applicable federal, state, and local environmental regulations, including the Texas Commission on Environmental Quality (TCEQ) guidelines for electronic waste. The Company does not export e-waste to developing countries and makes commercially reasonable efforts to ensure downstream processors adhere to responsible recycling practices.
8. Limitation of Liability
GreenIT Pickup provides equipment pickup services on an "as-is" basis. To the maximum extent permitted by law:
- The Company is not liable for any data, software, configurations, or intellectual property remaining on transferred equipment
- The Company makes no warranties, express or implied, regarding data handling, equipment processing, or disposal methods
- The Company's total aggregate liability arising from or related to these Terms shall not exceed the total fees paid by the Transferor for the applicable services (which, as a no-cost service, is zero dollars)
- In no event shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages
9. Service Area
GreenIT Pickup currently provides services within the Dallas-Fort Worth metropolitan area and surrounding communities. Service availability for specific locations is confirmed during the scheduling process. Pickup scheduling is subject to availability, minimum quantity requirements, and route optimization.
10. Scheduling and Cancellation
Pickups are scheduled through the Company's website contact form or by phone. The Company will make reasonable efforts to accommodate preferred pickup dates but does not guarantee specific time slots. Either party may cancel or reschedule a pickup with reasonable advance notice. The Company reserves the right to decline service for any reason, including but not limited to equipment condition, quantity, accessibility, or safety concerns.
11. Indemnification
The Transferor agrees to indemnify, defend, and hold harmless FitzgeraldTech LLC, its officers, employees, and agents from and against any claims, damages, losses, or expenses arising from: (a) the Transferor's breach of any representation or warranty in these Terms; (b) any data remaining on transferred equipment; (c) any third-party claim related to ownership or disposition of the transferred equipment; or (d) the Transferor's failure to accurately disclose site conditions as described in Section 5.
12. Modifications to Terms
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of GreenIT Pickup services after modifications constitutes acceptance of the updated Terms. Material changes will be communicated to active service contacts when practicable.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Tarrant County, Texas.
